These Terms & Conditions (“Terms”) govern your access to and use of Prozen, operated by Codemedia (“Prozen,” “we,” “us,” or “our”). By creating an account, starting a trial, or using the Services, you agree to these Terms and our Privacy Policy.

If you use Prozen on behalf of a business, you represent that you have authority to bind that business to these Terms.

Prozen provides software tools for fitness coaching and training, which may include:

• Client dashboard and mobile experiences for workouts, nutrition, habits, messaging, progress, and community features
• Coach dashboard for client management, programs, scheduling, packages, billing tools, AI assistance, and related workflows
• Optional AI coaching (Zensay) and AI assistant features
• Marketplace, invites, and enrollment flows connecting clients and coaches

You must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate information, keep credentials confidential, and promptly update account details. You are responsible for activity under your account.

We may suspend or terminate accounts that are inactive, abusive, fraudulent, unpaid, or otherwise violate these Terms or applicable law. Account statuses may include active, suspended, or banned.

Clients are responsible for following programs safely within their abilities, disclosing relevant injuries or limitations to their coach, and seeking medical advice when appropriate. Coaching and AI guidance are not a substitute for professional medical care.

Coaches are independent service providers (unless expressly employed by Prozen). Coaches are responsible for the quality, legality, and appropriateness of programs, advice, and communications they provide to clients; for complying with professional and advertising rules in their jurisdiction; and for accurately describing packages they sell.

Prozen provides the platform. Except where we expressly operate a system AI coach (Zensay), we are not a party to the coaching relationship between a coach and a client.

Fitness, nutrition, and wellness content on Prozen — including coach-created plans and AI-generated plans — is for informational and coaching support only. It is not medical advice, diagnosis, or treatment. Consult a physician before beginning any exercise or nutrition program, especially if you have injuries, medical conditions, or are pregnant.

You assume all risks associated with physical activity and dietary changes undertaken using the Services.

AI outputs may be incomplete, inaccurate, or inappropriate for your situation. You must review AI suggestions before relying on them. Many coach write actions require confirmation; auto-apply for low-risk actions applies only when explicitly enabled.

You may not use AI features to seek medical diagnosis, generate unlawful content, attempt to extract other users’ private data, or circumvent safety limits. We may rate-limit or disable AI access for abuse or risk.

Depending on your role, you may pay:

• Coach platform subscription fees to Prozen for dashboard access (plans and trials as described at signup/pricing; trials may limit client count)
• Client platform or Zensay subscription fees to Prozen where offered
• Coaching packages sold by a coach, billed through Stripe (and Stripe Connect where enabled). Platform application fees may apply as disclosed in product billing materials

Prozen and its licensors own the platform software, branding, and documentation. You receive a limited, non-exclusive, non-transferable license to use the Services for their intended purpose.

You retain rights to content you upload or create (such as client logs, meal photos, and coach programs), and you grant Prozen a worldwide license to host, process, display, and transmit that content solely to operate and improve the Services, including AI features you use and coach–client delivery.

Coaches grant clients and Prozen the rights needed to deliver assigned programs through the platform. You must not upload content you do not have rights to use, or content that is unlawful, harmful, or infringing.

You agree not to harass, spam, scam, or share illegal or abusive content. We may moderate community posts and remove content or restrict accounts that violate these rules. Messages between coaches and clients are private to that relationship but may be accessed by administrators for safety, support, or legal reasons.

You agree not to:

• Reverse engineer, scrape, or overload the Services except as allowed by law
• Attempt unauthorized access to other accounts, data, or systems
• Misrepresent your identity, credentials, or coaching qualifications
• Use the Services for any unlawful purpose or in violation of export or sanctions rules
• Interfere with billing, security, or AI safety controls

The Services integrate with third parties such as Amazon Cognito, Stripe, OpenAI, hosting and storage providers, email/push providers, and wearable platforms. Their terms and privacy policies apply to their processing. Prozen is not responsible for third-party outages or changes outside our reasonable control.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OR COACHING CONTENT WILL MEET YOUR GOALS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROZEN AND Codemedia WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO PROZEN FOR THE SERVICES IN THE THREE MONTHS BEFORE THE CLAIM OR (B) USD $100.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

You agree to defend and indemnify Prozen and Codemedia against claims arising from your content, your coaching advice (if you are a coach), your misuse of the Services, or your violation of these Terms or applicable law.

You may stop using the Services at any time and cancel subscriptions through the applicable billing portal or product controls. We may suspend or terminate access for breach, risk, non-payment, or discontinuation of the product. Provisions that by nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive termination.

These Terms are governed by the laws applicable to Codemedia's principal place of business, without regard to conflict-of-law rules, unless mandatory consumer protections in your country require otherwise. Courts in that jurisdiction will have exclusive venue for disputes, subject to those mandatory protections.

We may update these Terms by posting a revised version with a new effective date. Material changes may also be communicated by email or in-product notice. Continued use after the effective date constitutes acceptance where permitted by law.
